#### 5. Commercial and Contractual Conditions
– **Liquidated Damages (LD):** Applicable for delays. Charged at **0.5% per week** of the unexecuted order value, with a maximum cap of **5%** of the total contract price.
– **Price Basis:** Prices must be quoted inclusive of all taxes and duties **except GST**. Prices are to remain **firm and fixed** for the duration of the contract. No price escalation is allowed.
– **Inspection:** Material is subject to Pre-dispatch Inspection (PDI) and inspection at the site. EESL can order type testing from a NABL-accredited lab at the bidder’s cost.
– **Insurance:** The successful bidder is responsible for all insurance (transit, erection all risk, third-party liability, workmen compensation) until the project is complete.
– **Governing Law & Disputes:** The contract is governed by Indian law, with exclusive jurisdiction of the courts in **New Delhi**. Disputes are to be resolved through arbitration in Delhi.
